These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TWC ONE LLC, doing business as Recruiter Jane ("Company," "we," "us," or "our"), governing your access to and use of the website located at recruiterjane.com and the Recruiter Jane platform (collectively, the "Service").
BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
1. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
2. Account Registration
To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete.
3. Description of Service
Recruiter Jane is an AI-powered recruiting tool that assists users in discovering and evaluating potential candidates through publicly available data sources, including GitHub profiles. The Service generates reports based on user-defined search criteria. Results are provided on an "as-is" basis, and we do not guarantee the accuracy, completeness, or availability of any candidate data or search results.
4. Subscription Plans and Billing
The Service offers various subscription plans, including a limited free trial and paid monthly plans. By selecting a plan and providing payment information, you authorize us (through our payment processor, Stripe, Inc.) to charge the applicable fees on a recurring monthly basis.
Free Trial: New users may be eligible for a limited free trial that includes a specified number of reports. A valid credit card is required to activate the free trial. You will not be charged during the free trial unless you upgrade to a paid plan. Once the free trial allotment is exhausted, you must subscribe to a paid plan to continue using the Service.
Recurring Billing: Paid subscriptions are billed on a monthly recurring basis. By subscribing, you authorize recurring charges at the then-current rate for your selected plan until you cancel.
Price Changes: We reserve the right to change our subscription prices at any time. Any price changes will take effect at the start of your next billing cycle following notice of the change.
5. No Refund Policy
ALL FEES PAID ARE NON-REFUNDABLE. WE MAINTAIN A STRICT NO-REFUND POLICY. By subscribing to the Service, you acknowledge and agree that:
- All subscription fees, once charged, are final and non-refundable, regardless of usage or satisfaction.
- No refunds will be issued for partial months of service, unused reports, downgraded plans, or any other reason.
- Prorated credits may be applied when upgrading plans, but no cash refunds will be issued under any circumstances.
- You waive any right to dispute charges with your bank or credit card provider for fees properly charged under these Terms, and you agree that initiating a chargeback constitutes a breach of these Terms.
6. Cancellation Policy
You may cancel your subscription at any time through your account settings. Upon cancellation:
- Your subscription will remain active until the end of your current billing cycle.
- You will continue to have full access to the Service and its features until the end of the paid period.
- No prorated refunds will be issued for the remaining days in your billing cycle.
- After the billing cycle ends, your account will be deactivated and you will lose access to the Service's features.
- We are not obligated to retain your data after account deactivation. You should export any reports or data you wish to keep before your subscription expires.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation
- Harvest, scrape, or collect personal information about individuals for purposes unrelated to legitimate recruiting activities
- Harass, stalk, or send unsolicited communications to individuals identified through the Service
- Attempt to reverse-engineer, decompile, or disassemble the Service or its underlying technology
- Circumvent any access controls, usage limits, or security measures of the Service
- Share your account credentials with third parties or allow unauthorized access to your account
- Use the Service in any manner that could disable, overburden, or impair the Service's functionality
- Use the Service for any discriminatory purpose in violation of applicable employment laws
8. Intellectual Property
The Service, including all software, algorithms, designs, text, graphics, logos, and other content, is the exclusive property of TWC ONE LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose during the term of your subscription. You may not copy, modify, distribute, sell, or create derivative works based on the Service.
9. Indemnification
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS TWC ONE LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE "INDEMNIFIED PARTIES") FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COURT COSTS) ARISING OUT OF OR RELATED TO:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable law, regulation, or third-party right
- Any employment decisions made based on information obtained through the Service
- Any dispute between you and any candidate, employee, or third party arising from your use of the Service
- Any claim that your use of the Service infringes upon the rights of a third party
This indemnification obligation shall survive the termination of your account and these Terms. By creating an account and using the Service, you expressly accept and agree to this indemnification obligation.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TWC ONE LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for all claims arising out of or related to the Service shall not exceed the total amount of fees you paid to us during the twelve (12) months immediately preceding the event giving rise to the claim.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We expressly disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no guarantees regarding the accuracy, completeness, or reliability of any search results, candidate data, or reports generated by the Service.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction of such courts.
13. Arbitration Agreement
At the Company's sole election, any dispute arising under these Terms may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the State of California. You agree that any arbitration shall be conducted on an individual basis and not as a class action or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.
14. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to indemnification, limitation of liability, disclaimer of warranties, and governing law provisions.
15. Modifications to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and TWC ONE LLC regarding the Service, and supersede all prior agreements, representations, and understandings, whether written or oral.
